We reserve the right to refuse service to anyone for any reason at any time, particularly if we find that a request does not comply with our policies, terms, and conditions.

You understand that your content (excluding credit card information) may be transferred unencrypted and involve transmissions over various networks. Credit card information is always encrypted during transfer over networks.

All sales are final. No refunds will be issued except as required by law. Please ensure you understand the terms associated with each service or product before purchase.

These Terms and all transactions and agreements are governed by and must comply with applicable laws in the State of Florida.

SECTION 13 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Service Professional Management and our affiliates from any claim or demand, including reasonable attorneys’ fees, arising out of your breach of these Terms or your violation of any law or the rights of a third party.


SECTION 14 - SEVERABILITY

If any provision of these Terms is determined to be unlawful or unenforceable, such provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms.


SECTION 15 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this Agreement.

These Terms are effective unless terminated by either you or us.


SECTION 16 - ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and us and govern your use of the Service, superseding any prior agreements.

You can review the most current version of the Terms at any time on this page. We reserve the right to update or change these Terms by posting updates on our website. Your continued use of our website or services following any changes constitutes acceptance of those changes.


* SECTION 18 - INVOICE AND PAYMENT TERMS *

18.1 Payment Terms

Unless otherwise specified on the invoice, all invoices are due within fifteen (15) days of completion of the services rendered. If a different payment term is indicated on the invoice, that term shall apply.

18.2 Overdue Payments

Any invoice balance more than five (5) days overdue will result in a pause on all ongoing and upcoming jobs until the outstanding balance is paid in full.

18.3 Late Fees

Late payments may be subject to a late fee equal to the lesser of one and one-half percent (1.5%) per month (18% per annum) or the maximum rate permitted by Florida law, applied to the outstanding balance until paid in full.

18.4 Expired Proposals

Expired proposals will not be honored. A new quote will be required, and pricing may differ from the original. Pricing is only guaranteed within the validity period specified in the proposal.

18.5 Proposal Acceptance

Any proposal approved by the Client must be signed and returned with the proper documentation. We do not accept verbal, text, or phone call approvals.


* SECTION 19 - CLIENT TIERS AND PAYMENT POLICIES *

19.1 Client Classification

We categorize Clients into tiers based on payment history, creditworthiness, and other relevant factors.

  • Tier 1
    • Payment Terms: Net 30 days from the date of invoice, unless otherwise specified.
    • Credit Limit: Up to \$10,000 without a deposit required.
  • Tier 2
    • Payment Terms: Net 15 days from the date of invoice, unless otherwise specified.
    • Credit Limit: Up to \$4,999 without a deposit required.
  • Tier 3
    • Payment Terms: Net 7 days from the date of invoice, unless otherwise specified.
    • Credit Limit: Up to \$1,000 without a deposit required.
  • Tier 4
    • Payment Terms: Payment due within 1 day of invoice, unless otherwise specified.
    • Credit Limit: Up to \$500 without a deposit required.
  • Tier 5
    • Payment Terms: Payment due upon receipt.
    • Deposit Requirement: 50% deposit required prior to commencement of work.
  • Tier 6
    • Payment Terms: Full payment required in advance.

19.2 Adjustment of Client Tier Status

Clients may be reclassified to a different tier based on payment history and compliance with our payment terms.

Three-Strike Policy: If a Client incurs three (3) payment defaults within a three (3) month period, they will be reclassified to a lower tier, which may require payment in advance for any future services.

19.3 New Clients

All new Clients are required to pay a deposit in advance for the services requested. The deposit amount and specific payment terms will be outlined in the proposal or invoice provided. The default payment terms for new Clients align with Tier 5 or Tier 6, unless otherwise agreed upon in writing.


* SECTION 20 - WARRANTY TERMS *

20.1 Warranty Coverage

  • The warranty covers defects in materials and workmanship under normal use.
  • Only applicable to parts installed or repaired by our authorized personnel.

20.2 Conditions

  • The Warranty covers defects in materials and workmanship under normal use.
  • Only applicable to parts installed or repaired by our authorized personnel.

20.3 Exclusions

  • Does not cover parts modified or repaired by unauthorized persons.
  • Excludes damage from misuse, abuse, negligence, accidents, or external factors.
  • Normal wear and tear, consumable parts, and cosmetic damage are not covered.
  • Labor is not covered under this warranty. Any labor required for warranty-related services will be billed separately.
  • Parts that have been modified or repaired by unauthorized persons are not covered.
  • The warranty excludes damage resulting from misuse, abuse, negligence, accidents, or external factors.

20.4 Claim Procedure

  1. Contact us at admin@serviceprofessionalmanagement.com.
  2. Provide the original service receipt and a detailed description of the issue.
  3. An authorized technician will inspect the part to verify warranty coverage.

20.5 Warranty Service Scheduling

Service calls related to warranty claims will be scheduled during regular business hours on weekdays, subject to our availability and existing appointments. We will make reasonable efforts to accommodate your scheduling preferences; however, availability is not guaranteed.

20.6 Emergency or After-Hours Service

If warranty-related services are required outside of regular business hours or as an emergency, additional charges will apply. For warranty-related services performed after hours, you will be billed at 50% of our standard overtime rate for the time incurred. If the service request is found to be unrelated to the warranty, the full standard overtime rate will apply.

To request emergency or after-hours service, the Client must send a confirmation email detailing the request and specifying the need for emergency service. No emergency service will be provided without written confirmation via email.

20.7 Solutions

  • Defective parts will be repaired or replaced at our discretion at no charge.
  • Labor for repair or installation is not covered under this warranty and will be billed separately.

20.8 Additional Costs

  • Warranty-related labor will be billed at the regular rate during regular business hours.
  • For warranty-related labor requested outside of regular hours, including after-hours or weekends, an overtime rate will apply.
  • Regular service hours are Monday to Friday, 8:00 a.m. to 4:00 p.m.

20.9 Liability Limitation

  • This warranty is the sole warranty provided. No other express or implied warranties are offered, including but not limited to warranties of merchantability or fitness for a particular purpose.
  • Service Professional Management LLC is not liable for incidental, consequential, or indirect damages arising from the use of any parts or services.

20.10 Modifications

We reserve the right to modify the terms of this warranty at any time. Changes will apply only to future services and parts, not retroactively.

SECTION 21 - GOVERNING LAW

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
